Affiliate Program Terms

These Affiliate Program Terms ("Affiliate Terms") govern your participation in the SetMate Affiliate Program (the "Program"). They are part of, and incorporated by reference into, the SetMate Terms of Service. By enrolling in the Program or sharing a referral code, you agree to these Affiliate Terms. Capitalized terms not defined here have the meaning given in the Terms of Service.
1. Eligibility and enrollment
To join the Program you must have a registered SetMate account (guest accounts are not eligible) and be at least 18 years old. You enroll from Settings → Refer & Earn in SetMate, where you accept these Affiliate Terms and receive a unique referral code. We may approve, decline, or revoke enrollment at our discretion. Enrollment is personal to you and may not be transferred.
2. Your referral code
Your referral code identifies people you refer. You may share it through your own channels, but you must not use deceptive, spammy, or unsolicited methods, bid on SetMate trademarks in paid search, impersonate SetMate, or imply that you are SetMate or speak on its behalf. A referral code may be entered at sign-up or at any time before the referred user first subscribes; it cannot be added after someone has already become a paying subscriber, and it can only be set once. You may not refer yourself or create accounts to redeem your own code.
3. How commissions are earned
You earn a commission when a person who used your referral code converts from a free trial to a paid subscription, or makes a qualifying purchase. Current commission amounts are:
- $1 for a monthly subscription
- $5 for an annual subscription
- $10 for a lifetime purchase
Commission amounts are set by SetMate and may change; your current rate is always shown in your in-app dashboard, and changes apply only to conversions that occur after the change. Where a purchase is made through the Apple App Store, Apple's commission and applicable taxes and fees are accounted for before commissions are calculated. Installs, free accounts, and trial sign-ups that never convert do not earn a commission.
4. Hold period, refunds, and reversals
After a referral converts, the commission is held as "pending" for 30 days while the subscription remains active. This hold clears the refund/cancellation window. If the subscription is refunded, charged back, cancelled, or otherwise reversed during the hold period, the commission is reversed and will not be paid. After the hold period elapses with the subscription still active, the commission becomes payable.
5. Payouts
To receive payouts you must provide accurate payout details in your dashboard: your payout name and a payout method and handle (PayPal, Venmo, or Zelle). You are responsible for keeping these details current; SetMate is not responsible for payments sent to an incorrect or outdated handle you provided.
Payouts are sent monthly for any balance that has cleared the 30-day hold and exceeds the $10 minimum. Balances below the minimum are not forfeited — they roll over and are paid in a later month once they cross the threshold. Any cleared balance remaining when you leave the Program (or on request) is paid out regardless of the minimum.
6. Taxes
You are solely responsible for any taxes on commissions you earn. United States affiliates who earn $600 or more in a calendar year must complete a W-9 before we can send further payouts, and we will issue a Form 1099 as required by law. We may withhold payouts until required tax information is provided. You are an independent participant, not an employee, agent, partner, or joint venturer of SetMate, and nothing in the Program creates an employment or agency relationship.
7. Referral discounts (web only)
Where SetMate offers a discount to people who sign up with a referral code, that discount applies only to eligible sign-ups on the web (app.setmateapp.com). In the iOS app, a referral code still credits the affiliate, but Apple sets App Store prices, so App Store subscribers pay the standard rate. Discount amounts are set by SetMate, may change, and are always shown to the customer at checkout.
8. Required disclosures
When you promote SetMate, you must clearly and conspicuously disclose that you earn a commission, as required by applicable law, including the U.S. Federal Trade Commission (FTC) Endorsement Guides (for example, "#ad" or "I earn a commission"). You are responsible for complying with all laws applicable to your promotion, including advertising, consumer-protection, and anti-spam laws. Failure to disclose may result in removal from the Program.
9. Prohibited conduct and fraud
Self-referrals, fake or incentivized sign-ups, use of bots or fraudulent accounts, manipulation of attribution, misleading or false advertising, and any other abusive activity are prohibited. We may withhold, reverse, or forfeit commissions, suspend your code, and remove you from the Program for any such activity or any violation of these Affiliate Terms or the Terms of Service.
10. Program data and privacy
The activity shown to you about your referrals is anonymized and never identifies the people you refer. Payout and tax details you provide are used only to pay you and to meet our legal obligations. Our handling of personal information is described in the Privacy Policy.
11. Changes, suspension, and termination
SetMate may modify, suspend, or end the Program, adjust commission rates, or change these Affiliate Terms at any time. Material changes will be reflected by updating the date above and, where appropriate, by notice. Your continued participation after changes take effect constitutes acceptance. You may leave the Program at any time; cleared balances will be paid as described above. Unearned or pending commissions do not survive termination for cause.
12. Disclaimers and limitation of liability
The Program is provided "as is." To the maximum extent permitted by law, SetMate's total liability arising out of or relating to the Program is limited to the total commissions payable to you in the three months preceding the event giving rise to the claim. SetMate will not be liable for any indirect, incidental, special, consequential, or punitive damages.
13. Governing law
These Affiliate Terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-laws principles, and disputes are subject to the exclusive jurisdiction of the courts located in Colorado.
